By accessing or using the Services you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.

The Services are intended for use by individuals who are at least 18 years old and legally capable of entering into binding contracts. Certain products (private equity, private real estate offerings and angel-investing syndicates) are limited to Accredited Investors as defined under Rule 501 of Regulation D of the U.S. Securities Act of 1933.

You agree to provide accurate, complete and current information during registration and to keep this information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

All deposits and withdrawals are subject to review and manual approval by Oceangate's operations team. We reserve the right to hold, decline or reverse any transaction that, in our sole discretion, appears fraudulent, unauthorized or non-compliant with applicable laws (including anti-money-laundering and know-your-customer requirements).

Investment products are offered through Oceangate and its affiliates. All investments involve risk, including possible loss of principal. Nothing on the Services constitutes an offer to sell or a solicitation of an offer to buy any security in any jurisdiction where such offer or solicitation would be unlawful.

All content, trademarks, service marks, logos and software on the Services are the property of Oceangate or its licensors and are protected by copyright, trademark and other intellectual property laws.

You agree not to (a) reverse-engineer or attempt to derive the source code of any part of the Services; (b) use the Services in violation of any law; (c) attempt to gain unauthorized access to any account or system; or (d) use the Services to transmit malware, spam or unsolicited communications.

To the maximum extent permitted by law, Oceangate shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, arising out of your use of the Services.

You agree to indemnify and hold Oceangate harmless from any claim or demand arising out of your breach of these Terms or your violation of any law or third-party rights.

We may modify these Terms at any time by posting a revised version on the Services. Material changes will be highlighted. Your continued use of the Services after any change constitutes acceptance of the new Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware.
